Thamani Risk Disclosure

Effective: September 2026

Last Updated: September 2026

1. About this Risk Disclosure

Investing your money always involves some level of risk. This document exists to help you understand what that actually means for Thamani's products before you commit any money. It does not cover every possible risk, as different products carry different risks, and you should read the specific Product Terms, Investment Information and other disclosures for the opportunity you are considering before deciding. Only commit money you can afford to have tied up for the relevant period, and, where applicable, afford to lose.

2. No Investment is Completely Risk Free

Being offered through Thamani does not make an investment risk-free. Values can fall, expected returns may not materialise, payments can be delayed, and depending on the structure, you could lose some or all of what you put in. Past performance does not guarantee future performance. If we describe a return as expected, projected or a target, that is not the same as guaranteed, as the actual return depends on the product's structure and how the underlying investment, business, asset or partner actually performs.

3. Thamani's Role can Differ from Product to Product

We do not use one structure for everything. Depending on the product, we might structure an opportunity, pool funds from participating users, deploy funds to a partner or project, participate directly ourselves, facilitate access to an opportunity, work with a licensed specialist partner, or use another structure entirely as explained in that product's Terms. Read the specific product information before investing. Do not assume the risk, ownership, return mechanism, or level of protection on one Thamani product carries over to another.

4. Loss of Capital

You might not get back the full amount you invested. Depending on the product, that can happen because the underlying business performs poorly, a project underdelivers, a partner does not meet its obligations, an asset loses value or cannot be sold when expected, a transaction gets delayed, costs eat into proceeds, or something else affects the underlying investment. Where a product involves direct participation in an opportunity, you carry the investment risk described in that product's Terms.

5. Partner and Counter-Party Risk

Some Thamani products involve third parties such as technology companies, finance houses, property developers, agricultural businesses, investment partners, asset owners, project operators, and other commercial partners. Your investment's performance can depend partly or entirely on that partner actually delivering. A partner can delay or miss a payment, become financially distressed, default, shut down, give inaccurate information, fail to finish a project, or otherwise not perform as expected. When that happens, we may not be able to recover what was expected, or it may take time.

6. Pooled Funds

Some products combine money from different participants before deploying it into one or more underlying opportunities. Where that applies, your money is not necessarily deployed separately from everyone else's; the applicable Product Terms explain how pooled funds are used and how returns, losses, costs and proceeds get allocated. Pooling can add its own risks: how other participants' investments perform, how the underlying portfolio performs, allocation and distribution mechanics, timing mismatches, and not being able to pull out one specific investment on demand.

7. Liquidity and Withdrawal Risk

Your investment might not be available for immediate withdrawal as some opportunities lock funds in for a fixed period. Even where withdrawal is allowed, it may come with notice requirements, a maturity date, fees, fund availability constraints, underlying asset liquidity, or other conditions in the Product Terms. Do not invest money through Thamani if you need immediate access to it.

8. Investment Maturity and Delays

Reaching a stated maturity date does not automatically mean payment lands immediately in every case. Delays can happen because a partner has not paid yet, an asset has not sold, a project has slipped, a transaction has not closed, a third party has not delivered, or something outside our reasonable control has intervened. The applicable Product Terms explain the expected investment period and how delays get handled.

9. Return Risk

A presented return is based on expected performance of the underlying investment or transaction and the actual return could be lower, or might not materialise at all. Where we receive a return from a partner and pass on an agreed portion to you, what is available to distribute depends on that partner actually delivering. For example: if we place funds with a partner at an agreed return and pass on a portion to participants, your return stays subject to how that underlying transaction actually performs. A target, projected or expected return is not, by itself, a promise it will be achieved.

10. Default Risk

A borrower, partner, project operator, developer or other counterparty can fail to meet its obligations. Default can mean delayed payments, reduced returns, a restructured transaction, enforcement of any available security, recovery proceedings, or partial to total loss. Even where security or collateral exists, that does not automatically mean your capital gets recovered as its value might be insufficient, hard to realise, contested by competing claims, or complicated by other legal issues.

11. Security and Collateral Risk

Some opportunities identify an asset or other security backing the transaction. Where that is the case, the Product Terms explain what it is and when it can be enforced. Security is not the same as a guarantee. Recovery can depend on whether the security is actually valid and enforceable, who owns the secured asset, its value, competing claims on it, whether it can even be located or controlled, enforcement costs, court or regulatory process, and market conditions at the time.

12. Product Specific Risk

Different Thamani products involve different underlying activities. Consider the specific risks of whichever product you are looking at: • Mudarabah: A Mudarabah arrangement carries its own commercial and investment risks such as business performance risk, loss of invested capital, lower than expected profit, delayed distributions, operational and management risk, and risks tied to whatever the invested funds are actually used for. The applicable Mudarabah terms explain the roles of each party, the profit sharing arrangement, and how losses are treated. • PropertyVault: Property investments can be affected by changes in property values, being unable to sell when expected, development delays, construction risk, title or ownership issues, planning or regulatory issues, tenancy risk, maintenance and operating costs, taxes and charges, developer or contractor failure, and shifts in the property market. Where you acquire an ownership or economic interest in a property or property-related vehicle, the applicable Product Terms explain exactly what that interest is. • FinVest: FinVest gives you exposure to a diversified mix of financial instruments through regulated financial institutions and fund managers Thamani selects. Risks include volatility, liquidity risk, issuer or counterparty risk, currency risk, transaction risk, loss of capital, low performance of the underlying instruments, the standing of the regulated institutions involved, interest rate and market movements affecting fixed income or money-market instruments, and liquidity constraints tied to the chosen tenor. Diversification across instruments reduces, but it does not eliminate the risk of underperformance or loss; as a lower risk entry point into structured investing is not the same as a risk-free one. • AgriVest: Agricultural investments can be affected by weather and climate, crop or livestock disease, pests, production failures, commodity price swings, supply-chain problems, transportation issues, operator performance, regulatory change, environmental factors, and shifts in market demand, meaning performance can diverge meaningfully from the original expectation. • Business Funding: This is the product marketed on the Thamani Platform under For Businesses. Applying for Funding does not guarantee approval, a particular funding amount, a particular rate, or funding within any timeframe. Where Thamani carries out a referral or preliminary check, that is not a credit assessment, an approval, or a funding commitment, the actual decision to fund sits with the relevant finance or capital partner, based on their own assessment. Small and growing businesses carry meaningfully higher risk of underperformance or failure than more established borrowers, which is a real factor in how a finance or capital partner evaluates any application referred through Thamani.

13. Campaign and Direct Investment Opportunity

Some opportunities let you invest directly in a specific business, project, asset or transaction. These can carry a higher level of investment specific risk, since the outcome depends heavily on that one thing going well. Before participating, review the information on the underlying opportunity, the amount being raised, how funds will be used, the expected investment period, the proposed return, who is involved, any security, exit arrangements, material risks, and the circumstances in which you could lose your investment. Where the structure puts investment risk directly on you, the Product Terms will say so.

14. Thamani's Proprietary Investments

For certain products, Thamani may invest its own capital, or take direct responsibility for an investment outcome. Where we do, the applicable Product Terms explain the extent of that responsibility. This does not mean we guarantee the performance of every product on the Platform; just the specific ones where we have said so.

15. Regulatory and Licensing Risk

The legal and regulatory environment around fintech, investment activity, digital platforms and related services can change through new legislation, new regulations, licensing requirements, regulatory guidance, tax changes, investigations, activity restrictions, or changes to how a product has to be structured or offered. Where a product involves a regulated activity, we may work with an appropriately licensed partner, or need our own licence before carrying out certain activities directly.

16. Technology and Platform Risk

We run on technology, and the Platform can occasionally experience downtime, technical errors, connectivity issues, system interruptions, cybersecurity incidents, delayed updates, third-party service failures, or other technical problems. We take reasonable steps to keep our systems secure and reliable, but no online system can be guaranteed uninterrupted or completely secure. Technical issues may, in some cases, affect access to your account or transaction information.

17. Cyber Security and Fraud Risk

You could be exposed to phishing, identity theft, account compromise, fraudulent messages, social engineering, malware, unauthorised access, or other cybercrime. We take reasonable measures to protect the Platform and your information, but you are also responsible for protecting your own credentials, so never share passwords, authentication codes, or other security details with anyone. If you get a suspicious message claiming to be from Thamani, verify it through our official channels before acting on it.

18. Third-Party Service Provider Risk

We depend on third-party providers for things like payment services, cloud infrastructure, technology, identity verification, communications, security, custody, and investment or financial services. If one of them fails, part of the Platform or a specific product could be affected. We take reasonable steps to select and manage these providers.

19. Custody and Holding of Funds or Assets

How money or assets are held depends on the product and the applicable regulatory structure. Where a product uses a third-party custodian, bank, regulated institution, or other authorised provider, the Product Terms identify that arrangement. Do not assume money paid through Thamani is automatically held in a separate custody account or protected by a statutory deposit or investment protection scheme; the specific product documentation explains what actually applies.

20. Currency and Exchange-Rate Risk

Where an investment involves a currency different from the one you funded your account in, exchange-rate movements can affect what you ultimately receive even if the underlying investment performs exactly as expected.

21. Inflation Risk

Money loses value over time through inflation. An investment can produce a positive nominal return while its real purchasing power actually falls short of expectations. Weigh the stated return against inflation and broader economic conditions, not just the headline number.

22. Interest-Rate and Economic Risk

Interest rates, inflation, economic conditions, government policy, tax, market conditions and other macro factors can all affect how an investment performs and most of these sit outside Thamani's control.

23. Legal and Enforcement Risk

An investment can depend on contracts, security documents, ownership rights, or other legal arrangements. Sometimes a contract cannot be enforced as expected, a security interest gets challenged, ownership is disputed, legal proceedings delay recovery, or enforcement costs eat into what's recovered. Where enforcement becomes necessary, it can take time and may not result in full recovery.

24. Tax Risk

Your investment may carry tax consequences, depending on the type of investment, the nature of the return, your personal or corporate circumstances, and applicable (and changing) Nigerian tax law. This Risk Disclosure is not personal tax advice, so get independent tax advice where you need it.

25. Information Risk

Investment decisions may rest partly on information we, our partners, or the underlying business provide. We may run appropriate checks depending on the product, but third-party information can contain errors, omissions, or details that later change. Weigh all available information before deciding.

26. Conflict of Interest Risk

We may have commercial relationships with parties involved in an opportunity; for example, earning fees, commissions, or spreads depending on the transaction structure. Where a material conflict exists, we aim to identify and manage it in line with applicable requirements and the relevant Product Terms, which will give you more detail where necessary.

27. No Personal Investment Advice

Unless expressly stated otherwise under an appropriately authorised structure, nothing Thamani provides should be treated as personal investment advice. Information about an opportunity is there to help you understand it and its risks; deciding whether it is right for you is on you. Where a regulated advisory service is provided by an appropriately licensed person or entity, that separate advisory relationship and its terms apply.

28. No Guarantee by Thamani

Unless expressly stated in a legally binding agreement and permitted by law, we do not guarantee that an investment will hit a particular return, that you will receive it on time, that you will get your capital back, that an underlying business will perform as expected, that an investment will be liquid when you need it, or that an opportunity will hit its stated target. A target, expected, or projected return is not a guarantee; however it is phrased.

29. Read the Product Information before Investing

Before committing money, review what is provided for that specific product: Product Terms, Investment Information, this Risk Disclosure, fees and charges, investment period, return mechanism, withdrawal/exit terms, underlying investment information, partner details, security information, and any other applicable disclosures. If something does not make sense to you, get independent professional advice before investing.

30. Your Responsibility as an Investor

Before investing, think through: whether you can actually afford it, how long your money might be tied up, the real possibility of losing some or all of your capital, whether you might need that money before maturity, your financial circumstances, your investment goals, your risk tolerance, and whether you genuinely understand what you are investing in. Do not invest based on the expected return alone.

31. Risk Acknowledgement

By proceeding with an investment, you are confirming you have had the chance to review the relevant product information and understand that investing involves risk. Specifically, you acknowledge: • I have read and understood the applicable Risk Disclosure and Product Terms. • I understand I may lose some or all of the money I invest, depending on the product and circumstances. • I understand an expected, projected or target return is not necessarily a guaranteed one. • I understand different Thamani products carry different risks and structures. • I have considered whether this investment suits my financial circumstances. Where a specific product requires additional acknowledgements, you will see those before the investment completes.

32. Product Specific Disclosures Take Priority

This is a general Risk Disclosure. The specific Product Terms and investment documentation for an opportunity may carry additional risks unique to it, so read those carefully. Nothing here removes or reduces a specific risk or obligation stated in the applicable Product Terms or transaction documents.

33. Changes to this Risk Disclosure

We may update this document when our products change, new products launch, our investment structures change, regulatory requirements shift, new material risks emerge, or our risk-management practices evolve. The most current version is always available on the Thamani Platform.
