Thamani provides a platform through which businesses may submit funding requests for consideration and, where appropriate, may be referred to selected finance or capital partners. Unless expressly stated otherwise in writing, Thamani is not the lender or funder and does not itself guarantee or undertake to provide financing to an applicant. Thamani's role may include receiving and reviewing information submitted by a business, conducting preliminary checks, assessing the general suitability of a request for referral, and facilitating a referral to an appropriate finance or capital partner. A preliminary review or referral by Thamani does not constitute a credit assessment, approval, recommendation or commitment to provide funding.

Submitting a funding request through the Thamani Platform does not guarantee: • A. Approval of the request; • B. The availability of funding; • C. Any particular funding amount; • D. Any particular interest rate, pricing or financing cost; • E. Any particular repayment period or other financing terms; or • F. Funding within any particular timeframe. Thamani does not represent or warrant that a funding request will result in an offer of financing.

Where a funding request is referred to a finance or capital partner, that partner will independently determine whether to consider or provide funding. The relevant partner may apply its own eligibility criteria, due diligence, credit or risk assessment, documentation requirements, approval procedures and other conditions. Any financing offered will be subject to the terms agreed between the relevant parties and documented separately. A referral by Thamani does not constitute an endorsement, guarantee or representation that a particular finance or capital partner will approve an application or provide financing on any particular terms.

Thamani may, where appropriate and subject to applicable law and its arrangements with relevant partners, refer a funding request to one or more selected finance or capital partners. The decision as to whether, when and to whom a request may be referred will depend on the nature of the request, the information provided, applicable eligibility requirements and the funding opportunities available at the relevant time. Thamani does not guarantee that a suitable finance or capital partner will be identified or that a referral will result in financing.

The business submitting a funding request is responsible for ensuring that all information and documents provided through the Platform are accurate, complete, current and not misleading. Thamani may rely on information and documents provided by the applicant when reviewing or processing a funding request. Where information provided is incomplete, inaccurate or misleading, this may affect the assessment, referral or consideration of the funding request.

Information submitted through the funding process may be reviewed by Thamani and, where appropriate, shared with selected finance or capital partners for the purpose of assessing, processing or facilitating the funding request. Thamani will handle personal data in accordance with applicable Nigerian data protection laws and its Privacy Notice. Applicants should review the Privacy Notice before submitting personal or business information through the Platform, including information relating to directors, beneficial owners, employees or other individuals. Thamani will not disclose or use information for purposes inconsistent with applicable law, the Privacy Notice or the circumstances in which the information was collected, except where otherwise permitted or required by law.

Where a funding request is referred to a finance or capital partner, communications with the applicant may be conducted in accordance with the arrangements between Thamani and the relevant partner and applicable law. Any restriction on a partner's direct contact with an applicant will apply only where such restriction is expressly provided for in the applicable arrangement with that partner. Thamani may update this Notice where its referral arrangements or processes materially change.

Unless Thamani has expressly provided a specific timeframe in writing, no particular period is guaranteed for: • A. Review of a funding request; • B. Completion of preliminary checks; • C. Referral to a finance or capital partner; • D. Consideration of an application by a partner; or • E. Communication of a funding decision. Processing times may depend on the completeness of the information provided, the nature of the request, partner requirements and other circumstances outside Thamani's control.

If a finance or capital partner agrees to provide funding, the resulting financing arrangement will be governed by separate terms and documentation between the relevant parties. Thamani is not responsible for determining or guaranteeing the commercial terms offered by a finance or capital partner and, except to the extent required by applicable law or expressly agreed in writing, is not a party to the resulting financing arrangement. Applicants should carefully review any financing documentation before accepting an offer. Where appropriate, applicants should obtain independent legal, financial or other professional advice before entering into a financing arrangement.

Nothing on the Thamani Platform or in connection with the funding application process should be interpreted as: • A. A guarantee that funding will be provided; • B. An offer by Thamani to lend or provide finance; • C. Investment advice or a recommendation to enter into any investment or financing arrangement; • D. An offer or solicitation of securities by Thamani; or • E. A commitment by Thamani or any third party to provide financing, except where expressly stated in a separate written agreement and permitted by applicable law.

Thamani does not guarantee the availability, approval, amount, pricing, repayment period, security requirements or other terms of financing that may be offered by a finance or capital partner. Thamani is not responsible for an independent funding decision, refusal, delay, variation or withdrawal by a finance or capital partner, except to the extent that such responsibility cannot lawfully be excluded or is expressly assumed by Thamani in writing. Nothing in this Notice excludes or limits any liability, duty or obligation that cannot lawfully be excluded or limited under applicable Nigerian law.

By submitting a funding request through the Thamani Platform, you acknowledge that: • A. You have read and understood this Notice; • B. Submitting a funding request does not guarantee funding or any particular financing terms; • C. Thamani is not the lender or funder unless expressly stated otherwise in writing; • D. Any finance or capital partner will independently assess your request and make its own funding decision; • E. The information you provide must be accurate, complete and not misleading; and • F. Any financing ultimately provided will be subject to separate terms and documentation.
